1.The agreement

These Terms of Service (the "Terms") are a binding agreement between you and Fudex DAO, LLC, a Wyoming Corporation ("FUDEX", "we", "us"). They govern your use of the FUDEX.IO website, peer-to-peer exchange, mobile applications, the FUDEX Card, and related services (the "Services").

By creating an account or using the Services you accept these Terms, our Privacy Notice, and any product-specific terms we present to you. If you do not agree, do not use the Services.

2.Eligibility & verification

  • You must be at least 18 years old and able to form a binding contract.
  • You must register with a valid email address and mobile number, both verified by one-time codes.
  • Access to trading, deposits and bank linking requires successful identity verification (KYC) and addition of your wallet to the ERC-3643 whitelist.
  • The Services are not available in all jurisdictions, and we may decline, limit or exit accounts to comply with law.
  • You are responsible for your credentials and for all activity on your account. Changing your verified email or mobile number requires a new identity verification.

3.The Services

FUDEX.IO operates a peer-to-peer marketplace for tokenized fund securities. FUDEX tokenizes regulated funds 1:1 and lists them on the platform; Empire Stock Transfer, an SEC-approved transfer agent, acts as custodian of record and maintains the master ownership registry. FUDEX is not a counterparty to member trades, does not operate a central order book, and does not provide investment advice or recommendations.

Unregistered visitors may view fund information. Trading, posting offers, deposits and withdrawals are available only to registered, KYC-verified, whitelisted members.

4.P2P trading & escrow

  • Every trade is made directly between members who accept each other's offer terms (price, limits, settlement window).
  • Accepted trades are locked in an on-chain escrow contract until both sides settle; settlement is reported to the transfer agent automatically.
  • Offer prices are set by members and may differ from oracle NAV. You are solely responsible for the offers you post and accept.
  • Reputation metrics (rating, trade count, completion rate) are displayed to other members and must not be manipulated.
  • Once settled on-chain, trades are final and irreversible. We may assist with escrow disputes but cannot reverse settled transfers.

5.Tokenized securities

  • Tokens on FUDEX.IO are book-entry securities: each represents a beneficial interest in one share of the underlying regulated fund, held in segregated custody.
  • Tokens are ERC-3643 permissioned — they can settle only between whitelisted wallets, and mint/burn is authorized solely by the transfer-agent wallet.
  • Tokenization and de-tokenization are platform operations performed by FUDEX; members never mint or redeem directly.
  • If you lose access to your wallet, your ownership remains recorded on the master registry and is recoverable through an identity-verified process.

6.FUDEX Card

The FUDEX Card is a debit card that performs a just-in-time redemption of your selected fund balance at oracle NAV at the point of sale. Card issuance is subject to separate cardholder terms, eligibility and geographic restrictions. Cashback rates depend on your average balance held and may change. Spending may be a taxable event; consult a tax advisor.

7.Fees

We charge a flat 0.20% trading fee per settled P2P trade, shown before you confirm. There are no fees for minting at NAV, no monthly card fees, and no FX markup on card spend; third-party fees (e.g. ATM operators, banking partners) may apply. We may change fees prospectively with notice.

8.Prohibited conduct

You must not:

  • Provide false identity information, or use another person's account or documents;
  • Engage in market abuse — wash trading, spoofing, reputation manipulation, or coordinated price manipulation;
  • Use the Services for money laundering, terrorist financing, sanctions evasion, fraud, or any unlawful purpose;
  • Attempt to transfer tokens outside the whitelist, interfere with escrow contracts, or probe or disrupt our systems;
  • Scrape, reverse engineer, or misuse the Services or other members' data.

9.Risk disclosures

Securities involve risk, including possible loss of principal. The value of tokenized funds rises and falls with their underlying assets. P2P prices may trade above or below NAV. Liquidity depends on member offers and is not guaranteed. Blockchain settlement is irreversible. Past performance does not predict future results. Nothing on FUDEX.IO is investment, legal or tax advice.

10.Suspension & termination

We may suspend or restrict your account where required by law, where verification fails or lapses, where we suspect prohibited conduct, or to protect members or the platform. You may close your account at any time; settled obligations, open escrows and legally required record-keeping survive closure. On closure, your remaining holdings are de-tokenized at NAV and proceeds returned to your linked bank account.

11.Disclaimers & liability

The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim implied warranties and are not liable for indirect, incidental, special, consequential or punitive damages, loss of profits, or loss of data. Our aggregate liability for claims arising from the Services is limited to the greater of $100 or the fees you paid us in the twelve months before the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12.Disputes & governing law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Before filing a claim, contact us — most issues are resolved by our support team. Unresolved disputes will be settled by binding arbitration on an individual basis; you and FUDEX each waive the right to a jury trial and to participate in a class action, to the extent permitted by law.

13.General terms

  • Changes. We may update these Terms; material changes will be notified by email or in-app before they take effect. Continued use means acceptance.
  • Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition or reorganization.
  • Severability. If any provision is unenforceable, the rest remain in effect.
  • Entire agreement. These Terms, the Privacy Notice and any product-specific terms are the entire agreement between you and FUDEX.
